Privacy

The short version

Clause sets no cookies, runs no analytics, has no accounts and has no forms. There is nothing here that identifies you, and nothing is shared with anyone for advertising or any other purpose.

The only personal data involved is the standard server log our hosting provider keeps for every request, which we do not read and cannot connect to a person.

What this site is

Clause is an information product: a searchable database of contract provisions compiled from documents filed publicly with the U.S. Securities and Exchange Commission, with commentary on how those provisions are commonly structured.

It is not a law firm, it provides no legal services, and nothing here is legal advice or creates any professional relationship.

What we collect

Nothing you type, because there is nowhere to type it.

• No cookies. Not for analytics, not for advertising, not for measuring how many pages you have read.
• No analytics or tracking service of any kind.
• No accounts, logins, or profiles.
• No contact forms. If you email the address at the bottom of a page, we have your email and whatever you wrote in it, for as long as that message exists in the mailbox.
• No advertising networks, no third-party pixels, no social embeds.

Server logs

This site is hosted on Vercel, which records standard technical information for each request — IP address, the page requested, timestamp, browser user agent — in order to serve the page, keep the service running and defend against abuse. That is ordinary hosting infrastructure, not a choice we make per visitor, and we do not query those logs to build any picture of an individual.

An IP address is personal data under UK and EU law, so we name it here rather than pretend logs do not exist. The lawful basis is our legitimate interest in operating and securing the site. Vercel's retention applies; we do not extend it.

Where the content comes from

Clause text and filing details are reproduced from public filings on the SEC's EDGAR system, and every quotation links to its source document. Those filings are public records published by the SEC, not by us. Figures shown are computed from those filings; no quoted language and no number on this site is generated.

Following a link to sec.gov takes you to the SEC's own site, under its policies, not ours.

Your rights

If you are in the UK or EU, you have rights of access, correction, erasure, restriction, objection and portability in respect of personal data we hold about you. In practice we hold none, unless you have emailed us — in which case you can ask us to delete that correspondence and we will.

You can also complain to your data protection authority. In the UK that is the Information Commissioner's Office.

Children

This is a reference tool for commercial contracts. It is not directed at children and we do not knowingly collect anything from anyone.

Changes

We will update this page before adding anything that collects data, not afterwards. The date at the top is when it last changed, and clause.works is the only place it is published.
