    Escrow Provisions

    Release of Escrow Amount

    Special Repurchases Pursuant to the Indenture and Certain Escrow Release

    Escrow Agent

    Disbursement of Escrow Funds

    The Escrow Funds shall be held in escrow by Escrow Agent in accordance with the following terms: 2.3.1.     Deposit Escrow

    Duties of Escrow Agent

    Escrow Fund

    The Escrow Agent may resign at any time

    At the time of the resignation, the parties must appoint a successor escrow agent within 30 days. Buyer shall take all reasonable steps and actions necessary to cause all utilities to be transferred into Buyer’s name and account at the time of the Closing Date. Buyer shall obtain its own insurance with respect to the Property and shall not be responsible for any insurance premiums in connection with Seller’s insurance. If any of the aforesaid prorations and credits cannot be calculated accurately on the Closing Date, then the same shall be calculated as soon as reasonably practicable after the Closing Date and either party owing the other party a sum of money based on such ubsequent proration or credit shall promptly pay such sum to the other party. The provisions of this Section 10 shall survive the Closing. 19 11. RISK OF LOSS. 11.1 Possession; Risk of Loss .
