Jurisdiction

Dispute Resolution
(a) Subject to Section 6.9(b), any disputes, actions and proceedings against any Party, or arising out of or in any way relating to this Agreement, shall be submitted to the Hong Kong International Arbitration Centre (“ HKIAC ”) and resolved in accordance with the Arbitration Rules of HKIAC in force at the relevant time and as may be amended by this Section 6.9. The Tribunal shall have no authority to award punitive or other punitive-type damages. The award of the arbitration tribunal shall be final and binding upon the disputing parties. Revenue and Expense Allocations
All revenues and expenses with respect to the Property, and applicable to the period of time before and after Closing, determined in accordance with sound accounting principles consistently applied, shall be allocated between Seller and Purchaser as provided herein. Disputes . Dispute Resolution
(a) Negotiation. If a dispute arises out of or relates to this Agreement or the breach thereof, within twenty (20) days of receipt of written notice of a dispute, the parties shall attempt in good faith to resolve such dispute by negotiation among senior executives who have authority to settle the controversy.
